2024 In connection
with the optional dividend system "Viscofan Retribución Flexible"
for the 2024 fiscal year approved today by the Company's General Shareholders'
Meeting, the Board of Directors of the Company approved at its meeting held
today, after the aforementioned General Shareholders' Meeting, the estimated calendar
for the first edition of the aforementioned system.
In accordance
with the resolutions adopted by the General Shareholders' Meeting, the shareholders
of the Company may choose between the following options: (i) receive their
remuneration through the delivery of new fully paid-up shares, (ii) transfer
all or part of their free allocation rights (derechos de asignación gratuita)
in the market, or (iii) receive their remuneration in cash (the "Supplementary
Dividend" and the "Flexible Remuneration Options").
The shareholders of the Company may combine any of the aforementioned
alternatives with respect to the different groups of shares held by each
shareholder.
The estimated calendar
for the first execution of the optional dividend system "Viscofan Retribución
Flexible" corresponding to the fiscal year 2024 will be as follows:

Notice
regarding the number of free allocation rights (derechos de asignación
gratuita) required to receive one share and the gross amount of
Supplementary Dividend per share. For the determination of these items, the
formula approved by the Company's General Shareholders' Meeting will be
applied, which will take into consideration the arithmetic average of the
weighted average trading prices of the Company's shares on the Madrid,
Barcelona and Bilbao Stock Exchanges in the five trading sessions
corresponding to May 15, 16, 17, 20 and 21, 2024.

Notice is also given that the Board of Directors has
today adopted the resolutions necessary for the execution, in accordance with
the communicated calendar, of the payment of the supplementary dividend and the
first share capital increase and, for such purposes and in accordance with the
provisions of Article 1.5(g) of Regulation (EU) 2017/1129 of the European Parliament
and of the Council of 14 June 2017 on the prospectus to be published when
securities are offered to the public or admitted to trading on a regulated
market and repealing Directive 2003/71/EC, has approved the corresponding
information memorandum relating to the first execution of the optional dividend
system "Viscofan Retribución Flexible" corresponding to the fiscal
year 2024 (the "Information Memorandum"). The Information Memorandum
will be communicated as "Other Relevant Information" on 14 May 2024 prior
to the launching of the execution process of the referred system.
Finally, the Board of Directors has also adopted the
necessary resolution to carry out, pursuant to the resolution adopted today by
the General Shareholders' Meeting under item eight on the agenda, a share capital
decrease for a nominal amount equal to the nominal amount for which the first
share capital increase in the context of the Flexible Remuneration Options is
effectively executed. En relación con el sistema de dividendo
opcional "Viscofan Retribución Flexible" correspondiente al ejercicio
2024 aprobado en el día de hoy por la Junta General de Accionistas de la
Sociedad, el Consejo de Administración de la Sociedad ha aprobado en su sesión
celebrada asimismo en el día de hoy, con posterioridad a la mencionada Junta
General de Accionistas, el calendario estimado de la primera ejecución del
referido sistema.
De acuerdo con los acuerdos adoptados
por la Junta General de Accionistas, los accionistas de la Sociedad podrán
elegir entre las siguientes opciones: (i) percibir su retribución mediante la
entrega de acciones nuevas totalmente liberadas, (ii) transmitir la totalidad o
parte de sus derechos de asignación gratuita en el mercado, o (iii) recibir su
retribución en efectivo (el "Dividendo Complementario" y las
"Opciones de Retribución Flexible"). Los accionistas de la
Sociedad podrán combinar cualquiera de las alternativas mencionadas
anteriormente respecto de los distintos grupos de acciones de los que cada uno
sea titular.
El calendario estimado de la primera ejecución
del sistema de dividendo opcional "Viscofan Retribución Flexible"
correspondiente al ejercicio 2024 será el siguiente:

Comunicación del número de derechos de asignación gratuita necesarios para
recibir una acción y del importe del Dividendo Complementario bruto por
acción. Para la determinación de estos extremos se aplicará la fórmula
aprobada por la Junta General de Accionistas de la Sociedad, que tomará en
consideración la media aritmética de los precios medios ponderados de
cotización de la acción de la Sociedad en las Bolsas de Valores de Madrid,
Barcelona y Bilbao en las cinco
sesiones bursátiles correspondientes a los días 15, 16, 17,
20 y 21 de mayo de 2024.

Se comunica, asimismo, que el Consejo de Administración ha adoptado en el
día de hoy los acuerdos necesarios para la ejecución, conforme al calendario
comunicado, del pago del dividendo complementario y del primer aumento de
capital liberado y, a tales efectos y de conformidad con lo dispuesto en el
artículo 1.5(g) del Reglamento (UE) 2017/1129 del Parlamento Europeo y del
Consejo, de 14 de junio de 2017, sobre el folleto que debe publicarse en caso
de oferta pública o admisión a cotización de valores en un mercado regulado y
por el que se deroga la Directiva 2003/71/CE, ha aprobado el correspondiente
documento informativo relativo a la primera ejecución del sistema de dividendo
opcional "Viscofan Retribución Flexible" correspondiente al ejercicio
2024 (el "Documento Informativo"). El Documento Informativo se
comunicará como "Otra información relevante" el próximo 14 de mayo de
2024 con carácter previo al lanzamiento del proceso de ejecución del referido
sistema.
Finalmente, el Consejo de Administración ha adoptado de igual forma el
acuerdo necesario para llevar a cabo, al amparo del acuerdo adoptado en el día
de hoy por la Junta General de Accionistas de la Sociedad bajo el punto octavo
del orden del día, una reducción de capital por un importe nominal igual al
importe nominal por el que efectivamente sea ejecutado el aumento de capital
liberado en el contexto de las Opciones de Retribución Flexible. |
